Terms of Service
These terms govern your access to and use of Nimra (the “Service”). Nimra is a web application that analyzes procurement documents (RFPs/RFIs) into a reviewable requirements checklist, lets you discover and organize solicitations, and related features. By creating an account or using the Service, you agree to these terms. If you’re using Nimra on behalf of an organization, you’re agreeing on its behalf and confirming you’re authorized to do so.
1. Accounts
- You must provide a valid email address and keep your account credentials secure; you’re responsible for activity under your account.
- You must be at least 18 years old, or the age of majority where you live.
- We verify your email before you can run analyses. We use a CAPTCHA on signup to deter automated abuse.
2. The Service is assistive: verify against the source
Nimra uses large language models to extract and summarize requirements. It is built to favor recall (surfacing everything that might matter), but its output can still contain errors, omissions, or misclassifications. Nimra’s output is an aid, not a substitute for reading the underlying solicitation. You are responsible for verifying any requirement against the original document before relying on it for a bid, submission, or other decision. Nimra does not provide legal, procurement, or professional advice.
3. Your content
- You retain all rights to the documents you upload and the analyses generated from them (“Your Content”). We claim no ownership of it.
- You grant us a limited, non-exclusive license to host, process, and transmit Your Content solely to operate and improve the Service for you. For example, we send document text to our AI and infrastructure subprocessors to produce your checklist.
- You represent that you have the right to upload Your Content and that doing so doesn’t violate any law or third-party right.
- We do not sell Your Content, and we do not use it to train third-party foundation models. Any use of usage data to improve Nimra is on an aggregated or de-identified basis. See the Privacy Policy.
4. Acceptable use
You agree not to:
- upload content you don’t have the right to, or that is unlawful, infringing, or malicious;
- attempt to access another user’s account or data;
- probe, scrape, overload, or reverse-engineer the Service, or circumvent its rate, credit, or security controls;
- resell or provide the Service to third parties except as expressly permitted;
- use the Service, or its outputs (the requirements checklists, analyses, plain-language rewrites, glossaries, or other results), to train, fine-tune, or develop any machine-learning model, or to build, improve, or assist a competing product or a substitute for the Service — whether by extracting our prompts, models, or methodology, or by harvesting outputs at scale (no competing use; no training on outputs);
- systematically or automatically download, export, scrape, or copy outputs in bulk, beyond your own ordinary use of the analyses you paid for.
5. Credits, billing, and refunds
- Nimra runs on prepaid credits. New accounts receive a number of free analyses; after those are used, you purchase a credit pack to continue.
- One credit is consumed per analysis (including the sample document when billing is enforced). Credits are tied to your account, are not transferable, and have no cash value.
- Payments are processed by Stripe; we don’t store your card details.
- Purchased credits are generally non-refundable except where required by law. If something goes wrong on our end (e.g., a failed run that still consumed a credit), contact us and we’ll make it right.
- Prices and pack sizes may change; changes apply to future purchases.
6. Availability and changes
Nimra is offered on an “as available” basis and is under active development. We may add, change, or remove features, and we may impose or adjust usage limits to protect the Service. We’ll try to give reasonable notice of materially adverse changes.
7. Termination
You may stop using Nimra and request account deletion at any time. We may suspend or terminate accounts that violate these terms or that we reasonably believe create risk or abuse. On termination, your right to use the Service ends; we may delete Your Content after a reasonable period (see the Privacy Policy for retention).
Abuse. Where we detect a pattern of abuse — including automated or bulk downloading, exporting, scraping, or harvesting of outputs, or any use prohibited in “Acceptable use” above — we may immediately pause, suspend, or ban the account, and, because such use violates these terms, we may do so without refunding any prepaid or unused credits. We may use automated controls to detect this and pause accounts pending review.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any analysis is complete or accurate.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NIMRA AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST BUSINESS. THIS INCLUDES ANY LOSS ARISING FROM A MISSED, MISSTATED, OR MISINTERPRETED REQUIREMENT. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THE 3 MONTHS BEFORE THE CLAIM OR US $100.
10. Indemnification
You agree to indemnify and hold harmless Nimra and its operators from claims arising out of Your Content or your use of the Service in violation of these terms or applicable law.
11. Governing law
These terms are governed by the laws of the United States and the State of Pennsylvania, without regard to conflict-of-laws rules, and any dispute will be resolved in the state or federal courts located there.
12. Changes to these terms
We may update these terms. When we make a material change we’ll bump the version shown above and, for signed-in users, ask you to review and re-accept. Continued use after an update means you accept the revised terms.
